Terms of Service

These Terms of Service ("Terms") govern your access to and use of the condtek.ai website and the CONDTEK platform and application (together, the "Service"), provided by HITEK AI ("HITEK AI", "we", "us", or "our"). By accessing the website or using the Service, you agree to these Terms. If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.

1. Definitions

"Customer" means the organisation that licenses the Service. "User" means an individual authorised by the Customer to use the Service. "Customer Data" means the asset data, photographs, audio, observations, and records captured or generated through the Service by or for the Customer.

2. Use of the website

The condtek.ai website is provided for information and enquiry. You agree not to misuse the website, interfere with its operation, or attempt to access it other than through the interfaces we provide.

3. The Service and licence

Subject to these Terms and to payment of the applicable fees, HITEK AI grants the Customer a non-exclusive, non-transferable right to access and use the Service during the licence term for its internal business purposes. Licences are provided on an annual basis as described at the point of sale. The Customer is responsible for its Users and for all activity under its accounts, and for keeping account credentials secure.

4. Acceptable use

You agree not to: copy, modify, reverse engineer, or create derivative works of the Service; resell or sublicense the Service except under a written white-label or reseller agreement; use the Service unlawfully or to infringe the rights of others; upload malicious code; or attempt to gain unauthorised access to the Service or its underlying systems.

5. Customer Data and ownership

As between the parties, the Customer owns its Customer Data. The Customer grants HITEK AI the rights necessary to host, process, and display Customer Data in order to provide and support the Service. The processing of personal data within Customer Data is governed by our Privacy Policy and any applicable data processing agreement.

6. AI-generated output

The Service uses artificial intelligence to generate condition records, classifications, grades, remaining useful life estimates, and recommended actions. These outputs are decision-support information and are subject to technician confirmation and supervisor approval within the Service. They are not a substitute for professional judgement, statutory inspection, or engineering certification. The Customer is responsible for reviewing and approving records before relying on them.

7. Intellectual property

HITEK AI and its licensors own all rights in the Service, including the software, models, design, and documentation. No rights are granted except as expressly set out in these Terms. Feedback you provide may be used by us without restriction.

8. Fees and payment

Fees for the Service are as agreed at the point of sale. Annual licences are payable in advance and, unless otherwise stated in a written agreement, are non-refundable.

9. Third-party services

The Service may integrate with third-party services, such as a CAFM or CMMS. We are not responsible for third-party services, and your use of them is subject to their own terms.

10. Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error free, or that AI-generated output will be accurate or complete.

11. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, or consequential loss, or loss of profit, revenue, or data. Our total aggregate liability arising out of or relating to the Service will not exceed the fees paid by the Customer for the Service in the twelve months preceding the event giving rise to the claim.

12. Indemnity

The Customer will indemnify HITEK AI against claims arising from the Customer's unlawful use of the Service or breach of these Terms, to the extent permitted by law.

13. Term and termination

These Terms apply for the duration of your licence term. We may suspend or terminate access for material breach that is not remedied, or where required by law. On termination, the Customer may export its Customer Data for a reasonable period, after which we may delete it in line with our retention practices.

14. Confidentiality

Each party will protect the other's confidential information and use it only to perform its obligations under these Terms.

15. Changes to these Terms

We may update these Terms from time to time. The effective date at the top of this page indicates when they were last revised. Continued use of the Service after a change constitutes acceptance of the updated Terms.

16. Governing law and jurisdiction

These Terms are governed by the laws of the United Arab Emirates. The courts of Dubai have jurisdiction over any dispute, without prejudice to any mandatory consumer protections.
